论重构国企改制公司的委托代理运作系统

On the Entrusted Agency Operating System of reconstructed State owned System reforming Enterprises

目前国企改制公司的委托代理运作系统沿袭了传统国企的旧制 ,传统国企的弊端仍在继续繁衍。重构和优化国企改制公司委托代理运作系统的初步设想是 :深度调整公司股权结构 ,变国有资本的绝对控股为相对控股 ;改革国有资本委托代理的传统模式 ,推进国有资本委托代理系统与社会资本委托代理系统的并轨运行 ,解决国有资本委托人和代理人问题 。

By analysing the defects of the present Entrusted Agency Operating System in the state owned system reforming eneterprises,this paper puts farward tentative ideas which is to regulate the traditional mode of the national capital entrusted agency,to solve the problemes between national capital principals and agents so as to rebuild and optimize the entrusted agency operating system in the state run enterprises on the basis of transforming the national capitals from absolute holding to relative holding.
