与其他公司治理理论不同,托依布纳的公司治理理论以一种全新的视角来看待公司组织的自治性运转:其在厘清公司组织法人本质的基础上,将其视为一个独立、自治的行动系统,不是通过契约的交易而是通过组织决定的递归联动再生产它自己;在批驳"下属公司"和"集团企业的等级制单位"两个法律形象的基础上重构集团企业的法律形象;为满足企业网络化运作和多治理中心的协调统一而发展出一种最低限度归咎标准的公司治理理论范式;为公司治理的实际运作设定了衡量标准。

Compared with contract theory and private government theory,autopoietic theory views organizations and contract from the perspective of system and environment,which is of great significance to the corporate governance.First of all,the corporate governance theory of Gunther Teubner provides the theoretical paradigm for setting and operation of legal policy.Secondly,it reconstructs the legal image of group enterprises by explaining the concept of subordinative companies and hierarchical units of group enterprises.In addition,the theory indicates the corporate governance should set up a series of measuring standards for the corporate governance of a conglomerate.At last,the theory sets a criterion for corporate governance.
