我国公司治理结构存在的制度性缺陷是恶意经营产生的主要原因，必须对公司治理结构进行立法上、制度上的完善、变革和创新，为在公司内部对恶意经营行为进行有效的防范创造良好的内部治理机制条件。

The system defect in firm's administration structure of our country is the main reason for existence of evil management. Firm's administration structure must be consummated, reformed and renewed in legislation and system to create internal administration mechanism for effective guarding against internal evil management of firms.
