摘要
在法学界,人们对采用何种模式保护商誉的问题尚存争议。商誉只是一种法益,不能直接以设权模式来保护,无必要也不可能上升为类型化的权利,更不能从名誉权分解出"商誉权"。从比较法的角度来看,多数国家也是采用反不正当竞争模式来保护商誉。因此,将商誉定位为未上升为权利的法益并以反不正当竞争模式来保护不仅满足理论的逻辑要求,同时也符合各国的具体实践。
In the law field, there is less agreement on pattern to protect goodwill. Goodwill is only a kind of legal interest and can't be protected directly by right pattern. It is unnecessary and impossible to rise to be a typed right. It is also impossible to establish the concept of "goodwill-right". From the perspective of comparative law, most coun-tries adopt anti-unfair competition pattern to protect goodwill. Goodwill should be defined as legal interests and be protected by anti-unfair competition pattern, which not only meets the requirements of the logic of theory, but also ac-cords with the practice of each country.
