摘要
公司是一系列的复杂契约的集合,公众公司的契约更具有社会属性,涉及的关系方更多。《非上市公众公司监督管理办法》的颁布明确了我国非上市公众公司概念,进而明确了公众公司的概念。公众公司是现代资本市场的产物,我国公众公司发展时间不长,与之相关的监管和治理手段不完善,导致公众公司出现较显现的问题。作者从契约关系角度,分析了公众公司形成的机理,试图剖析各个契约关系方的利益诉求以及权利义务关系,从契约角度探讨公众公司监管思想,谋求制度构建的严谨和公平。
A company is a collection of a series of complex contracts. The contract of public companies has more social attributes and involves the relationships among a variety of parties. ＂Unlisted public company supervision and management measures＂ offers clear concept of a non-listed public companies in China, and then stresses the concept of a public company. The author analyzes the mechanism ofthe formation ofa public companY, attempts to analyze the interests, rights and obligations of various related contractual parties with an aim to establish sound regulation on public companies.
