现代公司代表人治理模式探究

Probing into the Governance Modes of the Representatives of Modern Companies

由于公司法人的对外代表权必须由代表人行使才能实现公司的行为能力和意志,所以对于代表人如何代表公司进行行为,公司代表人这一机构如何设置和构成,成为各国公司法的重要课题,并在各自的公司立法中基于对代表人法律性质和地位的不同理解规定了不同的模式。文章对国外公司代表人治理模式进行比较的基础上,对我国现行公司代表人的治理模式进行思考,以期为我国公司代表人制度的构建和完善在理论上提供支持。

The representation of corporate power shall be exercised by the representative to achieve the company＇s capacity and will, so how a representative should act tile representation on behalf of the company and how the company representatives should be set and made up have become an important subject of company law in many countries, and each country stipulates its own mode in its respective company legislation according to different understandings of the representatives＇ legal nature and status. Comparing with the foreign companies＇ representative governance modes, this paper reflects on the present company representative governance modes in our country, aiming at giving theoretical support in building and perfecting our representative system.
