论公司类型与公司治理模式的选择——以中国民营企业发展为视角

On the Corporate Type and Corporate Governance Mode——With Chinese Private Business at the Center

关于公司类型与公司治理模式的研究,目前存在着几种不同观点。比较分析各种公司类型及其治理模式的利弊得失,对于提高公司治理效果具有重要意义。中国《公司法》关于公司治理模式的规定,存在着公司类型过于简单,不能满足投资者需求;强调有限公司和股份公司的区别,而在法律制度尤其在治理模式设计上进行反向操作等问题,因此不能满足民营企业投资者的预期,很难适应公司发展的长远需求。为了满足不同投资者的理性需求,在公司类型及公司治理模式设计上,应该借鉴日本等国的经验,积极进行制度改革和创新,为民营企业提供更多可供选择的发展机会。

According to China＇s Corporate Law, corporate type is so simple that it can meet the needs of investors. The difference between limited company and joint - stock company is strengthened, and there exist some problems in the governance mode, which are difficult for private investors to invest. To meet the needs of different investors, experience from other countries should be borrowed, and system should be reformed and innovated so that more opportunities and selections may be given to private businessmen.
