在企业改制中 ,股份公司的法人治理结构是众多制度安排至关重要的一环。然而由于经济体制尚处在转轨之中 ,各种规章制度不完善 ,从而使公司的法人治理结构仍然存在着许多问题 ,严重影响公司制的有效运行 ,阻碍了国民经济的发展。从构建有效的公司治理结构的必要性入手分析目前公司治理结构不规范的成因 ,进而提出相应的对策和建议。

In the system reform of an enterprise,the administration structure of the artificial person in a stock company is a key link in the many system arrangements.However,the various regulations and systems are not perfect due to the transfer of the economic system. Therefore, the drawbacks in the artificial person administration structure of a company seriously affects the effective operation of the company system, hinders the development of the national economy. This article analyses the causes of the present-day abnormal administration structure by discussing the necessity of building an effective structure, and then puts forward some countermeasures and suggestions.
