合资方式是我国吸收日资的主要途径,中日合资企业既有国际台资企业的共性特征,也有基于中日投资方背景的个性特征。企业控制权之争是中日合资企业的核心问题,中日合资企业的控制权实际体现出股权控制权、决策控制权、运作控制权、研发控制权和专用性控制权等五个维度的特征。中方企业需要重点防范股权控制权、决策控制权和运作控制权向日方转移,同时利用好研发和专用性控制权。

oint venture is the main way to attract Japanese investment.Sino-Japanese joint ventures have not only common features of international joint ventuns,but also individual characteristics based on the investor's background.The fight on the control right is the core issue in Sino-Japanese joint ventures.Control rights of Sino-Japanese joint ventures appear actually five dimensions of characteristics,including share control,decision control,operation control,R&D control,and specific control.Chinese firms need emphatically prevent share control transfer,decision control transfer,and operation control transfer to the Japanese side.At the same time,it is necessary to make good use of R&D control right and specific control right.
