摘要
随着其规模的扩大化和组织机构的复杂化,众多家族企业都先后遇到了发展瓶颈,为了寻求解决之道家族企业纷纷开始引入职业经理人,试图借此帮助企业走出发展的泥潭。但职业经理人的引入,一方面给企业带来了新的思想与活力,另一方面也带来了相应的代理问题。解决职业经理人的代理问题,对促进家族企业健康发展具有重要意义。本文采用了案例分析的方法,以国美控制权之争案例为基础,从监督、激励以及剩余损失分配等方面分析了家族企业应该如何控制职业经理人代理问题,并提出了相关建议。
With the scale expansion and complicated organization,many family businesses have encountered development bottleneck.In order to seek the solution and help enterprises out of the mire,they started to introduce professional managers.The introduction of professional managers,brought new ideas and vitality,but also brought the corresponding agency problem.It is of great significance for the healthy development of family enterprises by solving the problem of agency for professional managers.This paper adopted the method of case analysis to consider how do the family business control the professional manager agency problems,and puts forward relevant policy suggestions.
