有限责任公司具有封闭性,人合性的特点,因此各国公司法对其股权向股东以外的第三人转让有严格的限制。我国新公司法对有限责任公司股权的对外转让主要是在公司法第72条中规定的,这里在对比新旧公司法关于有限责任公司股权对外转让规定的基础上,分析新公司法修改的优点和先进性,并着重对72条一些立法不足进行了研究与反思。
