摘要
本文研究我国员工持股企业的公司治理机制问题,从员工持股企业的治理结构入手,研究企业治理结构和治理机制,探寻其治理机制的优势与缺陷,并通过分析造成缺陷的主要原因,提出改善机制的对策思路。本文的研究认为,完善规制员工持股企业的相关法律法规,科学地安排企业股权结构、治理机构和科学地制定企业治理制度,是解决员工持股企业公司治理机制现存缺陷的关键。
The paper analyzes the corporate governance mechanism problems of employee stock ownership enterprises in China. Starting from the governance structure of such enterprises, corporate governance structure and governance mechanisna are studied to explore the advantages and disadvantages. Then, the main causes of defects and counternaeasures are presented to improve the mechanism. The study suggests that improving relevant laws and regulations of employee stock ownership enterprises, reasonably arranging corporate ownership structure and governance institution, and scientifically developing corporate governance system are the keys to solve the defects existing in the governance mechanisms of employee stock ownership enterprises.
