效力规范与管理规范区分的实证考量

摘要 《合同法解释(二)》第十四条将《合同法》第五十二条第五项规定的"强制性规定"限缩为"效力性强制性规定",以效力规范和管理规范的区分,来进一步彰显对合同自由的尊重。然而实证考量之,两者并没有明确严谨的区分标准,缺乏实践操作性。对合同效力的判断,根本途径是具体个案中进行利益的衡量,实质在于处理国家干预与私法自治的关系。 The article 14 in the Interpretation of Contract Law (II) limitedly and strictly puts thecompulsory provi-sionsin the fifth point of Article 52 of Contract Law into themandatory provisions on ef fectivenessin order to highlight the respect on the freedom of contracts by the distinction between the effectiveness specification and the management specifica-tion .However ,it is found in the empirical consideration that both terms are short of specific and precise standard of distinc-tion and less operational in the practice .For the judgment of the effectiveness of contracts ,the fundamental approach lies in the measurement of interests in the concrete cases ,which is essentially how to cope with the relationship between the na-tional intervention and judicial self-control .
