利益相关者的利益协调与平衡治理——基于“雷士照明控制权之争”的案例研究

以雷士照明控制权之争为案例进行研究,本文分析了利益相关者参与公司治理的独特优势。研究表明:在正式治理机制失效和不健全的市场环境下,利益相关者参与公司治理给企业提供了一条有效的治理途径。利益相关者参与公司治理,可以有效发挥人力资本所有者的特殊作用,并充分利用关系治理这一途径寻找利益相关者之间的利益均衡。本文拓展了公司治理的传统模式,为现代企业制度下的非正式治理提供了现实启示。

This paper takes the control conflict of NVC as the object of case study, and analyses the unique advantages of stakeholder participation in corporate governance. The research shows that, under the failure of formal governance mechanism and the imperfect market environment, stakeholder participation in corporate governance provides the enterprise with an effective governance approach. Stakeholder participation in corporate governance can effectively play a special role of human capital owners, and search for interest balance between the stakeholders by full use of relation - based governance. This paper ex- tends the traditional mode of corporate governance, and provides a realistic enlightenment on the informal governance under the modern enterprise system.
