摘要
竞业禁止协议已成为现代社会企业保护商业秘密的有效途径。在竞业禁止协议的订立、无效和终止程序中既贯彻自愿、平等、诚实信用原则,又应始终注意维持用人单位和劳动者的利益平衡。鉴于我国目前法律对竞业禁止协议规制的不全面不系统,导致的用人单位和劳动者的利益失衡,本文提出应在借鉴各国立法经验的基础上对竞业禁止协议作出更加全面的规范,以指导当事人的行为,构建和维护和谐的劳动关系。
Non-competition agreement has become to be an effective approach for modern enterprises to protect their secrets. The procedure of this agreement--making, invalid and termi- nating observes the principles of willingness, equality, and honesty, meanwhile the interest bal- ance of the employers and employees are also observed. However, the inefficient law leads to the unbalanced interest. It attempts to help construct a harmonious labor relationship based on the practice and experience in the foreign countries.
