摘要 本文以组织学习理论为基础,运用分析性归纳研究的方法,从建立新的企业心理边界、调整战略、调整组织行为方式三个维度构建了组织学习的企业并购后整合管理模型,并以被并购企业——中粮屯河为案例进行分析。研究发现,建立新的企业心理边界的组织学习有效消除了被并购企业员工因并购带来的心理冲击和导致的企业员工与企业内部认知的失调,使其逐步形成新的认知模式和组织同一性,增强了员工新的认同感;调整战略的组织学习有效消除了被并购企业因认知模式不同而带来的对发展方向决策框架的冲击和导致的决策框架与战略假设的失调,使其形成新的假设和对市场机会的感知;调整组织行为方式的组织学习有效消除了被并购企业因战略不同而对原有执行方式的不适性和导致的战略与执行机制的失调,使被并购企业以新的组织行为方式高效地配置和整合资源,保证战略实施的效果,形成新的战略运作方式。通过被并购企业认知和行动的改变,保证了并购整合后企业绩效的提高,这对组织学习理论应用于企业并购整合管理做了有益的扩展。 This paper, based on the organizational learning theory, using case studies method, constructs a management model of merger and integration with three dimensions of organizational learning that is to establish a new enterprise psychological boundary, to adjust strategy, to adjust the organizational behavior after the merger and employs a ease study of COFCO Tunhe. And it is found that the construction of psychological boundary of organizational learning can effectively eliminate the acquired enterprise staff caused by the psychological impact of M&A and enterprise employee and enterprise internal cognitive disorder, help them gradually form a new cognitive mode and organizational identity, enhancing the employees a new identity; Adjusting the strategy of organiza- tion learning can effectively eliminate the acquired enterprise from the different cognitive patterns caused by the impact on the devel- oping direction of decision - making framework and decision - making framework and strategic assumption of imbalance, helping it form new assumptions and perception of market opportunities ; adjustment of organization behavior of the organizational learning can effectively eliminate the discomfort of the acquired enterprise with different strategy implementation for the original way and imbal- ance led by strategy and implementation mechanism, cause the buyout firms have efficiently configuration and integration of resources in a new organization behavior, guarantee the effect of strategy implementation, forming the new strategy works. By the change of cognition and action, ensure the improvement of corporate performance after the merger integration. And this makes a beneficial extension of the organization learning theory which is applied to enterprise merger integration management.
