以迂回机制推进企业跨国并购后的整合——基于北一机床并购科堡的分析 被引量:5

摘要 本文借助对我国北一机床公司并购德国科堡机床公司后整合实践的分析,揭示出我国企业在并购全球领先企业时的一种有效整合方式:构建并有效运用迂回机制。这一机制包括以迂回方式实现战略目标,在迂回中建立并逐步完善对被并购企业的管控架构,在迂回中缔结并购方与被并购方的信任关系,以及在迂回中提升企业自我的国际经营能力并使并购整合的综合绩效最大化。
