公司制度是现代企业制度的一种有效组织形式 ,公司法人治理结构是公司制的核心。当前国有企业在建立现代企业制度试点过程中已初步建立的法人治理结构还缺乏规范性 ,我们要按照现代企业制度的要求 ,明确股东会、董事会、监事会和经理层的职责 ,形成各负其责 ,协调运转 。

Company system is an efficient organizational form for modern enterprise system. While management structure of company's legal body is the core of the company system. Today, state-owned enterprises have set up the management structure of legal body, but it needs to be standardized. We should classify the duties of board of stockholders, board of directors, board of supervisors, and managers so that management structure of a legal body is set to make sure that each of the boards is responsible for its work, and coordinates with and checks others.
