摘要
股份制是我国市场经济发展的必然结果 ,也是我国国有企业改革的必由之路和唯一选择。股份制可解决资本分散占有和集中需要的矛盾 ;与其他企业制度相比 ,可分散投资风险。同时从筹集资金 ,拓宽融资渠道 ,转换经营机制 ,两权分离 ,建立法人治理结构 ,协调各方利益关系等方面阐述了股份制是我国确立了社会主义市场经济改革方向以后的必然选择。
Share holding system is an inevitable outcome of Chins's market economic development. It is also the inevitable course and only choice of the reform of China's state run enterprises. The contractions between the decentralized possession and centralized demanding of capital can be settled by share holding system. Comparing with the other enterprise systems, the share holding system can diffuse investment risk. That the share holding system is a natural choice after the determination of the orientation of socialism market economic reform is elaborated from the aspects of raising funds, broadening the channel of circulating necessary funds, transforming management mechanism, separating “two” rights, setting up legal management structure, and coordinating the interests of all parties.
