论公司章程修改的限制

为了保持公司组织及行动的相对稳定并防止多额股东滥用表决权 ,本文就公司章程修改的限制作了探讨。公司章程修改的限制包括修改程序限制和修改内容限制。修改程序限制有修章提案权的机构与人员限制 ;修章的组织机构、议事方式、表决程序限制 ;新章程的核准生效限制。修改内容限制有不得删除“绝对应载事项” ;非经股东同意 ,不得变更该股东的既得权 ;非经股东同意 ,不得给该股东设定新义务 ;非经股东一致同意 ,不得给部分股东设定新权利 ;不得侵害少额股东权利 ;不得违反法律、行政法规 ;不得违反人民法院生效的法律文书之规定 ;

In order to maintain the relative stability of association and action of company,and in order to prevent majority shareholders from abusing their power,the thesis probe into the restriction of the alteration of articles of company.The restriction of the alteration of articles of company includes restriction of procedure and restriction of content.Restriction of procedure includes restriction of organ and personnel of motion power and restriction of association,rules of debate,voting procedure,and validity of the new articles.Restriction of content includes not deleting absolute items,not altering shareholders vested rights if they dont accept,not adding shareholders new duties if they dont accept,not adding part of shareholders new rights unless all shareholders accept,not infringing upon minority shareholders rights,not breaking the law,not breaking the courts valid legal documents,and not breaking compulsory alteration.
