韩国新商法中的种类股制度及借鉴

The Reference from the Classes Shares System of Korean New Commercial Law

韩国新《商法》修改、完善了利益分配种类股、剩余财产分配种类股、排除或限制表决权的种类股、无表决权种类股的表决权"复活"以及偿还股和转换股的种类股制度。该制度的核心是赋予了公司通过章程规定即可发行种类股以及确定种类股的种类及其权利义务的自由。我国在确立种类股制度时,有必要借鉴韩国种类股制度,应坚持章程自治原则,明确公司可发行种类股的类型及其内容,并规定种类股股东的保护措施。

Korean New Commercial Law further improves the classes shares system. In general, company is entitled to issue classes shares relatively freely. The types of classes shares can be issued if it is provided in articles of association. In the contents, Korean Commercial Law regulates the types of classes shares, which include classes shares concerning profit distribution, distribution of company remainder property, voting right, convertible right and pay back right. When we draw on the experience of Korean classes shares system to establish our own, we should uphold the principle of self-ruled by articles of association, regulate types and contents of classes shares, and establish safeguard measures to protect classes shares＇ shareholders.
