试析我国董事责任保险制度发展面临的困境及建议

摘要 董事责任保险制度是以董事及高级管理人员因经营决策疏忽引致投资者或其他人索赔所面临的赔偿责任为保险标的的一种保险。自其产生以来,受到英美法系国家公司的欢迎,但在我国却是困难重重。随着我国法律制度体系的完善和股东权利意识的提高,国内公司的董事及高级管理人员的经营压力和经营风险逐渐加大。为了平衡公司治理、股东权保护与董监高之间的利益,董事责任保险成为利益平衡的外部机制。
