摘要
本篇是笔者就新公司条例（香港法例第622章）（下称[新条例]）撰写的第二篇文章。本系列的第一篇文章载列了新条例为使法例现代化及加强企业管治所引入的主要新猷，并已刊登於《中国法律》的2014年第1期。本文旨在讲述新条例为达致方便营商及确保规管更为妥善这两个目的所引入的主要改变。
This article is the second one written by the authors on the new Companies Ordinance （Cap 622） （＂the New Ordinance＂）. The first article, which appears in the February edition of this journal, sets out the major changes introduced by the New Ordinance to modernise the law and enhance corporate governance. This article highlights the major changes which are introduced to achieve the objectives of facilitating business and ensuring better regulation.
