上市公司连锁董事对社会绩效的影响 被引量:17

The Study on the Effect of Interlocking Directorate of Listed Company on Social Performance

摘要 连锁董事对企业经济绩效的影响已经获得很多学者的关注,但是,连锁董事对非经济绩效的影响却鲜有研究。本文基于制度理论视角,以中国A股上市公司181家数据样本为研究对象,通过2009~2012年连续四年的面板数据分析,对连锁董事作用于企业社会绩效的影响进行了实证研究。研究结果发现:(1)连锁董事在董事会中所占比例对社会绩效产生正向影响,这其中不包括董事长;(2)董事长形成的连锁关系对社会绩效产生负向影响;(3)企业的连锁网络中心度对社会绩效产生正向影响;(4)地区制度环境对连锁董事与社会绩效之间关系产生一定的调节作用。 Effects of interlocking directorate on economic performance of enterprise and a series of strategies have been the concern of many literatures, but the influence of interlocking directorate on non economic performance has been rarely studied so far. Corporate social responsibility has become an important factor affecting the survival and sustainable development of Chinese enterprises. Studying determinants of corporate social performance as well as their affecting process provides the premise to improve corporate social performance. Previous literatures paid low attention to the relationship between interlocking directorates and corporate social performance.
