摘要
受民族文化的发展历程、意识形态领域的差异和企业文化发展处于初级阶段的影响,我国企业海外并购过程中面临的文化风险更加复杂,在文化整合过程中存在着心态不成熟、方法不完善、体系不健全等问题。海外并购文化整合中的文化风险体系具有风险、人、时间三个维度,通过动态循环的文化整合模式,可以在全面风险管理理念的指引下,使文化风险的整合充分发挥缓冲和指引的功能,从而有效实现两种文化体系的融合与创新,保证新的文化体系与企业经营之间的高度契合。
Influenced by the historic process of cultural development, ideology difference and immature corporate culture, the cultural risks faced by Chinese enterprises are more complex in the process of overseas M&A. Chinese companies lack mature mentality, efficient integration methods and sound integration system. The cultural integration in the process of overseas M&A consists of three dimensions : time, risk and people. Through dynamic circular cultural integration model, the integration can play a buffering and guiding role to realize the innovation and integration of two kinds of culture, which can lead to a high-degree match-up between the cultural system and the company operation.
