摘要
基于传统文化的路径依赖,我国企业带有明显的基于企业家个人魅力的"人格化"特征。当中国企业引进境外的机构投资者时,二者在公司治理中的矛盾逐渐显现出来。本文探究了现代企业"人格化"治理与"契约"治理的矛盾与相融性问题。案例研究表明"人格"治理的成功是基于特殊的人在特殊背景和特殊条件下的个案,很难复制为一个普遍的制度安排;在公司治理实践中经得起检验的是创造了西方文明的契约化治理,只有以"契约"治理为基础,同时辅之信义为主的人格化治理才能发挥二者的优势,不断提高企业治理效率。
Based on the path dependence of traditional culture, Chinese enterprises have obvious "personification" characteristics based on entrepreneurs' charisma. When Chinese enterprises introduce overseas institutional investors, the two contradictions in corporate governance gradually emerge. This article explores the contradictions and compatibility problems of "personification governance" and "contract governance" of modern enterprises. Case study shows that the success of the "personality governance" is the special case based on the special people under the special condition and the special background, which is difficult to copy for a universal system arrangement; in the corporate governance practice, "contract governance" that creating the western civilization stands test. Only based on the "contract governance" and complemented the "personification governance" to Lutheran at the same time can play the advantages of both and improve the efficiency of corporate governance continuously.
