从公司治理的角度谈经营者管理腐败的遏制

Discussion on the containment of Managers Managerial Corruptions in View of Governance

经营者管理腐败 ,一个很重要的原因就在于没有一套健全的监督、制衡机制来约束经营者的权力 ,也即没有健全、科学的治理结构。本文从公司治理的角度出发 ,借鉴西方企业治理结构的特征 ,结合我国实际情况 ,探讨了改善公司治理 ,遏制管理腐败的有效途径。

One of the important reasons of the deterioration of managrial corruption lies in the absence of sound supervision and control system to restrict manager's power,or rather in the absence of,scientific governance structure.This paper first gives a view of governance and the experience of foreign countries then it discusses the actural conditions of our own country.The paper focuses on the study of how to perfect the corporate governance with the purpose of controlling managerial corruption effectively.
