摘要
通过对国有企业现行治理结构缺陷的分析 ,认为在市场监控体系还很不完善的情况下 ,国有企业应着重于企业内部治理结构方面的制度创新 ,主要包括对董事会结构的调整以及对高级管理人员的激励机制的设计 ,同时也要加强市场治理机制的构建。
Based on the analysis of the governance mechanisms in state-owned enterprises, this paper suggests that the internal governance mechanisms, that is, governance structure, mainly including the structure of the board of directors and the incentive mechanism of the top management team, etc., should be directed more attention, because the market mechanism is not very complete in China today. Naturally, this does not mean that the market mechanism is ignored.
