实施债转股是十五届四中全会的重大政策之一，其根本目的是解决国有企业的高负债问题。实施债转股有一定的程序并要具备一定的政策条件，只有这样才能发挥其应有的巨大作用，为此，在实践中要把握三个方面的问题。

The Policy 'Liabilities - to Stocks' is one of the great policies made at the Fourth Meeting of the 15th Central Committee of C. P. C., whose purpose is to solve the problem of high liabititces of state enterprises. However, only under certain procedures and certain conditions can it play its gigantic role. Therefore, three issues need to be highly thought of during the implementation of the policy.
