In recent years, our country has made beneficial probes into the distribution systems of the managerial elements of the state owned enterprises,and produced some effect. The method of stock right encouragement has not only become an effective way of solving the problem of the encouragement mechanism of the management,but also an orientation in the pursuit of the managerial restriction mechanism.The scientific and effecticve implementation of stock right encouragement requires that the property right be reformed as soon as possible,the administering structure of the legal person be standardized,the selection system of the managerial personnel's orientation to the market be strengthened, and the mechanism of issuing stock and running the market be perfected.
