论董事义务体系的完善

Improvement of the director's duty system

作者提出我国公司董事义务包括善管义务和忠实义务两个方面。善管义务应以委托合同为基础 ,坚持以主观为主的综合性标准加以判断 ;忠实义务属于约束董事道德品质的范畴 。

The author points out that duties of company directors in China include two aspects:duty of a good faith man and duty of loyalty.Duty of a good faith man should be based on the appointed contract,and judged by the comprehensive standard with stress on subjective,Duty of loyalty belongs in the field of restraining the moral character of directors and aim at coordinating conflicts between the personal interests of directors and the interests of companies.
