股东大会与董事会权力分配的研究

On the Distribution of Power between the Council of Stockholders and the Board of Directors

文章阐明了股东大会与董事会权力分配不合理，不科学的状况，主张强化董事会的权力，弱化股东大会的权力，构建以董事会为中心的公司权力结构模式。

In this paper, the author discusses that the distribution of power between the council of stockholders and the board of directors is unreasonable and not scientific. The author holds that we can strengthen the power of the board of directors and weaken the power of the council of stockholders to establish a power model of a company centred on the board of directors。
