论董事行使职权的事前、事中和事后制衡机制

董事职权的日益扩张是现代公司的发展趋势。为了防止董事职权的滥用 ,我国公司立法必须以董事行使职权的事前、事中和事后过程来构建对董事职权的制衡机制 ,健全对董事资格、董事会决议、董事义务以及董事责任的立法规定 ,加强对董事的监督力度。

The increasingly extended functions and powers of directors is a developing trend in the existing companies.In order to prevent the functions and powers of directors from being abused,in the company legislation of China the following things must be done.The check and balance mechanism of director's functions and powers must be constructed on the basis of the process for the directors exercising his functions and powers before,during and after the event.Director's qualification,decision of directory,director's obligation,legislative provision of director's responsibility must be improved.Supervision over directors must be strengthened.\;
