国有企业改革与法人治理结构建设

The Reform of Stated－owned Enterprises and the Construction of the Enterprises＇ Organizations Structure

本文首先就完善法人治理结构是我国国有企业建立现代企业制度的核心环节进行了分析，然后对法人治理结构的内涵进行了详细的阐述，对国有企业改制、建立法人治理结构的过程中出现的问题进行了深层次探讨，对目前国际上普遍认同的、并值得我国企业借鉴的“OECD《公司治理结构原则》”作了介绍，对国有企业改制过程中如何完善法人治理结构提出了若干对策建议。

To perfect the corporate organization structure is the key link for Chinese enterprises to establish the modern enterprise system． In this paper, the intention of corporate organization has been explained in detail; the problems faced by the enterprises during the construction of the corporate organization have been analyzed in depth; and ″the principles of corporate organization structure of OECD″ has been introduced． Moreover, some countermeasures on how to perfect the corporate organization during the process of the state－owned enterprise reform have been brought about．
