It is pointed out that M&A of enterprises is the game actions which multi-players partic i-pate in.The actions characteristic of both sides in enterprise's M&A is analyzed.In different in-stances,the game theoretic models of enterprise's M&A are established,and the optimum stratagem of both sides in game theoretic models is given.
