摘要
企业购并成为全球经济一体化形势下企业实施发展战略的一种重要手段 ,通过购并后企业价值链的重构 ,创造竞争优势是实现购并企业战略目标的基本路径。企业购并前必须制定企业发展战略并分析市场竞争环境以及购并企业双方价值链 ;购并后通过价值链重构探求实现企业成本优势和经营歧异优势。重构过程中要关注企业文化重塑、品牌整合及创新。
In the trend of global economy integration,M&A has become one of the major means of corporate growth. Creating corporate competitive advantages by restructuring value chains is the basic way for the merging corporations to meet their initial goals. Before the M&A,the corporations should map out their growth strategy、analyze the market environment and the value chains of both sides. Having completed M&A,they should integration both sides' value chains in order to realize cost advantages and corporate differentiation. In the process of restructuring,they should especially pay attention to corporate culture remodeling、brand integration and fully utilization of the innovation resources.
