论企业经营管理者的激励模式和约束机制

摘要 年薪制和股权激励模式是目前在发达国家中较为流行的两种对企业经营管理者进行物质激励的模式,我国在国有企业中也就此进行了试点。但从国内外的实践看,无论是年薪制还是股权激励模式,都不能成为我国的统一的激励模式。从我国转轨时期的具体国情出发,在国有企业中应当推进多元化激励模式,即具体针对不同类型的企业,对其经营管理者实行持股多元化型、准公务员型、非持股多元化型以及承包型的激励模式。与此同时,还必须建立和完善约束机制,以遏制可能出现的机会主义风险。 In present the annual - salary system and the stock - right encouragement model represent two material encouragement patterns for the enterprise management prevalent in developed countries. Some of our state - owned enterprises are conducting tests of the two patterns. According to the practice at home and abroad, no matter which is the annual - salary system or the stock - right encouragement model, they both can not become a uniform encouragement pattern in our country. Starting from our specific national conditions, we should promote a kind of pluralized encouragement patterns in our state - owned enterprise management; for example, stock - holding pluralized pattern, quasi - public servant pattern, non - stock - holding pluralized pattern, and contracted encouragement pattern. In the meanwhile the restraint mechanism for the management must be set up and improved so as to check some possible opportunist risks.
