购并中价值创造的三个基本问题 被引量:27

摘要 本文围绕着购并是否创造价值、购并为谁创造价值、购并如何创造价值三个问题,总结了以往的购并研究,并分别作了评述。在经济总体水平上,购并作为一种资源的重组优化是有利的,但是面临的一个困境是,目标企业的股东获得的收益要远远高于购并企业的股东。学者们对此做了解释,比如认为经理们的动机“不良”,或者资本市场有效性值得怀疑,但是也有可能是购并企业在整合过程缺乏正确的认识和技巧,因此理解购并如何创造价值就成了关键。组织匹配性研究和过程学派对这个问题的研究确实大大增强了我们对整合过程的认识,但是离透彻地理解整合机理还有很长的一段路,笔者预言,社会资本等社会学、组织理论的分析框架可能会成为一个主要的方向。
