试论合同不完全性及合同漏洞补充

On the Incompleteness and the Supplement of Contractual Defect

本文借鉴契约经济学上的不完全合同理论，认为合同的不完全性产生合同漏洞，合同漏洞补充适用的范围就是因交易条件的不可观察性和不可证实性而产生的不完全合同。通过诚信原则使合同关系扩大，使当事人之间的交易关系处理更有效率、更为公正，合同漏洞补充是建立在合同关系扩大化基础上的。经济学里的公平分配合同剩余利益与损失的建议方案也值得合同漏洞补充方法的借鉴。

According to the incomplete contractual theory in Economics, the contractual incompleteness may lead to contractual defects, the suitable scope of the supplementary of the contractual defect is the incomplete contract emergs because of being hard to observe and verify' the dealings condition. We can enlarge the contractual relations through the principle of honest and credit, and make the dealings between the clients more efficient and just. The supplement of contractual defect is based on the enlargement of contractual relations, it also can refer to the proposal scheme of fairly distributing contractual surplus benefit and loss in Economies.
