摘要
根据"股东至上"的逻辑,企业治理结构首先是所有者的治理结构.中国国有企业由于一些特殊原因导致所有者即股东结构畸形,企业治理效率低下,而这也正是中国国企改革所忽视的.因此,有必要通过对所有者结构与治理效率的关系研究以及我国所存在的问题分析,试提出一条中国特色的所有者优化途径.
According to the concept that shareholders are supreme,firstly the corporate governance means the governance of the owners,namely shareholders.Due to some special reasons leading to the deformed structure of owners,the enterprises perform with low efficiency,which has been overlooked in the process of reforming the SOEs.Examing the relationship between the owners' structure and the governance efficiency as well as the problems facing the SOEs,the essay proposes an effective China-characterized means of optimizing the owners' structure.
