我国企业集团化过程中政府行为的种种误区主要有:仅从政府的角度出发组建企业集团,包揽论,无为论,忽视监督管理。针对这些误区相应的对策主要有:转变政府职能;实现政企分开;为企业创造宽松的政策环境;尽早形成以专门的 企业兼并法 为主体的法制系统,使企业兼并活动进一步规范化;大力实施再就业工程,加快社会保障制度的改革;大力培植企业并购的中介机构。

This paper discusses a variety of governmental misconduct appearing in the process of grouping enterprises and proposes some proper measures to deal with them. The main measures are: transforming the function of the government, realizing the division between politics and enterprises, creating a relaxed political environment for enterprises, forming the special law system as early as possible to standardize the grouping activities, building up intermediary organization energetically, strengthening the supervision and management of the government and fostering the reemployment project to quicken the reformation of social welfare system.
