对制约民营企业发展的因素进行分析．认为制度缺陷是中国民营企业失去发展动力的根源。为此，民营企业 应从产权制度、组织制度和管理制度三个方面创新，以适应经济发展形势。

This paper is to analyze the factors, which hinder the development of private - owned enterprises and there out conclude that the defects in system are the roots of the inability of further developing of private - owned enterprises in China. Therefore private-owned enterprises should execute innovation in system of property, system of organization and system of administration in order to adapt to the new situation of social economy.
