加强我国公司法人治理结构中的激励与约束机制

本文认为经营者和职工作为企业发展的动力源泉 ,应在制衡机制下给予充分的激励 ;对国有大中型企业的所有者 ,应采取相应的措施 ,约束其“一股独大”的股权结构 ,最终实现激励与约束下的制衡。

The operators and workers are the sources of enterprises development,they should be fully stimulated under the mechanism of restriction and equilibrium appropriate methods should be taken to restrain the state-owned shares of large,medium-size enterprises,so as to optimize the structure of stock holders right finally realize the goal of restriction and stimulation.
