创业投资企业的管理模式，即采用什么样的组织形式和制度安排，在很大程度上影响着创业投资企业的效益和发展速度。尽管各国在创业投资的名称、组织形式及相应的制度安排上因国情而各异，但归结起来大体上可分作三类，即公司制、有限合伙制和信托基金制。通过对不同管理模式创业投资企业的比较分析，认为采用有限合伙制的管理模式能够使得创业投资企业的代理成本最低，并进而提出了中国创业投资企业采用有限合伙制的具体方案建议。

Venture capital enterprises efficiency and development speed are significantly affected by their organization form and management cost. Although the name, organization form and relevant system arrangement are different among countries, but the organization form can be classified into three types: company, limited partnership and trust funds. The article gets the conclusion of the lowest management cost by analysis the venture capital enterprises organization forms.
