摘要
新加坡证券交易所于今年年中正式公布双层股权结构的制度框架定稿,并相应修改了其主板规则,正式确立了新加坡上市公司双层股权结构制度。本文拟就新加坡双层股权结构立法及交易规则的演进过程、主要内容以及其中的限制性条款进行研究与分析,旨在为我国对于是否采用双重股权结构提供启示与借鉴。
The Singapore Stock Exchange officially announced the final paper of the institutional framework for the dual share structure,and amended its main board rules accordingly in the middle of this year,officially establishing the dual share structure system for listed companies in Singapore.This article intends to study and analyze the evolution process,main contents and restrictive clauses of Singapore's dual share structure rules,aiming at providing implication and reference for China in terms of adopting dual equity structure.
