Some Environmental Factors that Impact the Independent Directors' Exerting Functions and the Countermeasures

独立董事制度是作为改善上市公司治理结构的强有力措施而引进的 ,但其作用的发挥却受到我国较为恶劣环境的制约。本文在分析我国有关经济法律环境对独立董事制度发挥作用的影响的基础上 ,提出了确立合理的股权结构、建立独立董事管理委员会等改善环境的对策。

The independent director system is introduced as a powerful measure to improve the listed corporation's governance structure , but its function is confined by our country's ill environment. After having analyzed the impact of our country's relative economic and lawful environment on the role of the independent director system, this article comes up with some countermeasures to improve the environment such as establishing reasonable stock right structure and the independent director commission and so on.
