电子商务与传统商务活动最大的区别在于前者交易形式的“无纸化” ,而后者基本上是以纸面文件为基础的。电子商务的应用无疑对以纸面文件为基础的传统的法律制度带来了极大的挑战 ,为解决这一问题 ,联合国贸法会 1996年通过的《电子商务示范法》及大多数国家的电子商务国内立法采用了一种“功能等同法”(functional equivalentapproach)的基本解决方法。

E-business differs from traditional commercial activities chiefly in that the former is based on none-paper trading form while the later are mainly based on paper documents. The application of E-business issues great challenge to the traditional legal system based on paper documents. As a basic solution to this problem, a 'functional-equivalent approach' is adopted by the United Nations and many countries through legislation.
