摘要
本文对管理者收购 (MBO)及其主要的实施手段———员工持股计划 (ESOP) ,以及中外实行MBO和ESOP所面临的不同情况、产生的不同问题及不同的操作方式等主要区别进行了详细分析。并在此基础上 ,论述了在我国实行MBO所要冒的风险以及需要注意的主要问题 ,并就如何发展MBO和ESOP提出了自己的见解。
This article mainly discusses the management buy out (MBO)and the major implementing means --- the employee stock ownership plan(ESOP) and the different states ,different issues emerged, and the different handling method in carrying out the MBO and ESOP both in China and aboard. Then based on it, this article discusses the risks we will face if MBO implemented in China and the problems that to be cared about and at last comes up with some views on how to develop the MBO and ESOP.
