摘要
风险企业是指风险投资人和创业企业家共同组建的有限合伙企业。与一般意义上的企业制度相比 ,风险企业在企业生成、组织形式和经营战略等方面均具有显著的特点 ,因而也需要特殊的治理机制。风险企业的治理特性表现在如下方面 :实行参与型投资、强化信息披露、采用分阶段多轮投资策略、规定限制条款、选择有利的投资方式和以股票期权作为主要激励手段。
Due to the organizational and strategically differences between the Venture business and established corporation, the governance for venture business more heavily depends on operating contracts than on formal organizational structure. The characteristics of governance for venture business include staggered investment, prohibited contractual items and stock options.
