摘要
董事的法律地位又称董事与公司的关系,它是公司董事权利、义务及责任产生的根据,正确界定董事的法律地位,具有重要的现实意义.本文在分析现有董事法律地位学说的基础上,结合我国公司法的实态,指出用任何一种单一的观点去解释董事与公司的关系都是不全面的.
Director's legal status can be called the relationship between director and the corporation.It's the basic where director's power?obligation and liability derive from.There is an important factual meaning in depicting correctly.After analyzing the existing theories of director status,and combinging the arporation larv in our country,the author points out that it is not au-sided to explain the relationship in one single theory
